Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using ytpix ("the Platform"), operated by Rajadurai Karthikeyan, an individual freelancer based in Tamil Nadu, India ("Operator," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and the Freelance Service & Billing Terms above. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Platform after any changes constitutes acceptance of the new Terms. It is your responsibility to review these Terms periodically.

2. Eligibility

By using ytpix, you represent and warrant that:

• You are at least 18 years of age or the age of majority in your jurisdiction.
• You have the full power and authority to enter into this agreement.
• You are not located in a country that is subject to a U.S. government embargo.
• You will not use the Platform in violation of any applicable laws or regulations.
• All registration information you submit is truthful and accurate.

3. Account Registration & Security

To access certain features of ytpix, you must register for an account. You agree to:

• Provide accurate, current, and complete account information.
• Maintain and promptly update your account information.
• Keep your login credentials confidential and not share them with any third party.
• Notify us immediately of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or show suspicious activity.

4. Service Description & Limitations

ytpix is an AI-powered content repurposing platform that transforms YouTube videos into various social media content formats, including but not limited to tweets, LinkedIn posts, Instagram captions, summaries, threads, hooks, scripts, titles, hashtags, and short scripts.

• Generations are limited based on your subscription plan.
• AI-generated content may require human review and editing.
• We do not guarantee the accuracy, completeness, or originality of AI-generated content.
• Service availability is subject to maintenance windows and unforeseen technical issues.
• Video length and transcript quality may affect generation quality.

5. Subscription Plans & Billing

ytpix offers both free and paid subscription plans. By subscribing to a paid plan, you agree to the following:

• Billing Cycle: Paid subscriptions are billed on a Monthly or Yearly basis.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled.
• Credits & Duration Tiers: Each plan includes a quota of credits. Credit consumption scales with video length (from 1 credit for short videos up to 21 credits for 10-hour videos). Videos over 10 hours and ongoing live streams are not supported. Unused credits carry over for Pro and Business plans up to 1x the monthly limit.
• Business Team Workspaces: Business subscribers can invite up to 4 team members (max 5 seats total including owner). The team owner is responsible for all team member actions and shared credit usage.
• API Access: Business subscribers are issued API keys for programmatic content generation. You are responsible for keeping your secret API keys confidential.
• Price Changes: We reserve the right to modify pricing with 30 days' notice via email.
• Taxes: You are responsible for all applicable taxes and fees. International transactions via Dodo Payments include sales tax/VAT calculated at checkout; transactions via Razorpay for customers outside India represent zero-rated service exports under Indian GST regulations.
• Payment Method & Gateway: You authorize the processing of all incurred fees through your selected payment gateway at checkout. Charges will appear under RAZORPAY* RAJADURAI KARTHIKEYAN (if processed via Razorpay) or DODO* YTPIX (if processed via Dodo Payments).

6. Refund & Cancellation Policy

Your satisfaction is important to us. Our refund and cancellation policy is as follows:

• Cancellation: You may cancel your subscription at any time from your account settings. Upon cancellation, your plan will remain active until the end of the current billing period.
• Refunds: All subscriptions (monthly and yearly) are non-refundable after purchase. No refunds are issued for cancellation, partial periods, or account deactivation. You retain paid access until your current billing period expires.
• Service Issues: If you experience persistent technical issues, contact support@ytpix.com for assistance.

7. User Conduct & Prohibited Uses

You agree not to use ytpix for any unlawful purpose or in violation of these Terms. Prohibited activities include:

• Uploading or generating content that infringes on any third-party intellectual property rights.
• Using the service to create misleading, deceptive, or fraudulent content.
• Attempting to circumvent usage limits, billing systems, or security measures.
• Reverse engineering, decompiling, or attempting to extract the source code of the Platform.
• Using bots, scrapers, or automated tools to access the Platform without written permission.
• Generating hate speech, violent content, harassment, or material that violates any applicable laws.
• Uploading videos that contain malicious code, viruses, or harmful components.

8. Intellectual Property Rights

• Platform Ownership: ytpix, including its underlying technology, AI models, algorithms, software, design, and branding, is owned by ytpix and protected by intellectual property laws.
• User Content: You retain all rights to the content you submit to ytpix (YouTube URLs, text inputs). By submitting content, you grant us a non-exclusive, worldwide license to process, store, and generate derivative content as requested by you.
• Generated Content: You own the output content generated by ytpix. However, we make no guarantees regarding the originality or copyrightability of AI-generated content. You are solely responsible for reviewing and ensuring compliance with applicable laws before publishing.
• AI Model Training: We do not use your content or generated outputs to train our AI models without your explicit consent.

9. Third-Party Services

ytpix integrates with the following third-party services:

• YouTube Data API: Used to fetch video transcripts and metadata. By using ytpix, you agree to the YouTube Terms of Service.
• OpenAI API: Powers the AI content generation engine. Generated content is subject to OpenAI's usage policies.
• Payment Gateways & Merchant of Record: Payment processing is securely handled by Razorpay Software Pvt. Ltd. (for domestic INR transactions) and Dodo Payments Inc. (operating as Merchant of Record for international USD transactions). We do not store sensitive credit card numbers or banking authentication credentials.

We are not responsible for the availability, accuracy, or content of third-party services.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ytpix and its affiliates, officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, use, goodwill, or other intangible losses.
• Damages resulting from your use or inability to use the Platform.
• Content generated by AI that may be inaccurate, misleading, or infringing.
• Service interruptions, data loss, or unauthorized access to your account.
• Any claims arising from third-party content or services integrated with the Platform.

Our total liability for any claims arising under these Terms shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ytpix, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property rights.
• Your use or misuse of the Platform or AI-generated content.
• Any content you submit or generate using the Platform.

12. Affiliate & Referral Program Agreement

Any registered user in good standing may participate in the YTPix Affiliate and Referral Program to refer new creators, podcasters, agencies, and businesses to the Platform. Participation is subject to the following terms:

• Commission Rate & Duration: Affiliates earn a 20% recurring commission on all qualifying subscription payments (both monthly and annual renewals) and credit top-up pack purchases made by referred users for twelve (12) consecutive months from the referred user's initial registration date.
• Dual Attribution (Link & Code) & Eligibility Window: Referrals are attributed either via the affiliate's unique referral link (which sets a 30-day first-touch attribution cookie) or by the manual entry of the affiliate's unique referral code in the referred user's account settings. To prevent attribution abuse, manual referral code redemption in Account Settings is subject to a strict time limit of seven (7) calendar days from user account registration and must be completed prior to purchasing any paid plan or subscription. Accounts that have already made a payment or purchased a subscription are ineligible for post-purchase referral code redemption. A user account may only be attributed to a single affiliate partner, and once claimed, attribution is permanent.
• 14-Day Clearance Hold Period: All earned commissions remain in a pending hold status for fourteen (14) calendar days following transaction completion. This window protects the Platform and partner against payment reversals, credit card chargebacks, refund requests, and fraudulent transactions. Commissions become withdrawable only after this hold clears.
• Payout Minimums & 24–48 Hour Review SLA: Affiliates may submit a withdrawal request once their cleared available balance reaches the minimum threshold of $50.00 USD (or ₹2,000 INR). To safeguard against financial fraud, all payout requests are subject to manual verification and administrative approval, which is completed within twenty-four (24) to forty-eight (48) hours. Payouts are disbursed via PayPal (global creators) or UPI (Indian bank accounts).
• Prohibited Practices & Anti-Fraud Policy: Affiliates are strictly prohibited from: (a) engaging in self-referral or creating secondary accounts to earn commissions on personal purchases; (b) bidding on YTPix trademarks or branded search terms (e.g., "YTPix", "YTPix AI", "ytpix.com") on Google Ads, Bing, or paid advertising networks; (c) sending unsolicited bulk communications (spam), conducting cookie stuffing, or posting link spam; and (d) publishing misleading claims, deceptive discount codes, or unauthorized guarantees.
• Remedies & Commission Forfeiture: YTPix reserves the right to audit referral activity. Any affiliate found in violation of these rules will face immediate termination of their affiliate account, cancellation of referral links, and total forfeiture of all pending and accrued commissions.

13. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including without limitation:

• Breach of these Terms or any applicable policy.
• Engaging in prohibited or unlawful activities.
• Request by law enforcement or government agency.
• Extended periods of inactivity.
• Non-payment of fees.

Upon termination, your right to use the Platform ceases immediately. Sections regarding intellectual property, limitation of liability, and indemnification shall survive termination.

14. Data Protection & Privacy

Your use of ytpix is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Platform, you consent to the data practices described in the Privacy Policy.

We implement industry-standard security measures, including encryption in transit and at rest, to protect your data. However, no method of electronic storage or transmission is 100% secure.

15. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Refund & Cancellation Policy, constitute the entire agreement between you and the Operator regarding your use of the Platform. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Tamil Nadu, India.

17. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform, you agree to the following resolution process:

• Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us at support@ytpix.com. We will attempt to resolve the dispute within 30 days of receiving your notice.
• Mediation: If the dispute cannot be resolved informally within 30 days, either party may initiate mediation administered in Tamil Nadu, India.
• Binding Arbitration: If mediation fails, the dispute shall be finally resolved by binding arbitration conducted in Tamil Nadu, India in accordance with the Arbitration and Conciliation Act, 1996 of India.
• Class Action Waiver: You agree to resolve disputes with us on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
